Business Entity Formation in Nevada
Choosing the right business structure is one of the most consequential decisions a founder makes. Nevada LLCs, governed by NRS Chapter 86, are the most common choice for startups and small businesses because they combine personal liability protection with flexible tax treatment. Formation requires filing Articles of Organization, an Initial List of Members or Managers, and a State Business License through Nevada’s SilverFlume portal. Clark County also requires a local business license separate from the state filing.
Nevada imposes no state corporate or personal income tax. The Commerce Tax applies only to businesses with gross revenue exceeding $4 million per year, a threshold most small businesses don’t reach. Corporations, partnerships, and sole proprietorships each carry different liability and governance implications. We help founders weigh those structures against their ownership goals, capital needs, and long-term plans, not just the immediate filing requirements.
Operating Agreements & Founder Agreements
Nevada doesn’t legally require an LLC operating agreement, but courts enforce its terms when one exists, and most banks require it to open a business account. A well-drafted operating agreement defines ownership stakes, decision-making authority, profit distribution, and what happens when a co-owner departs. These provisions are far easier to negotiate at the outset than after a dispute has surfaced.
Founder agreements serve a similar function for multi-owner ventures: they establish the rules of the relationship before anyone needs to invoke them. Poorly drafted or absent governance documents are a leading cause of owner disputes. We draft and review these foundational agreements with the goal of preventing conflicts rather than resolving them later.
Commercial Contracts for Las Vegas Small Businesses
Every significant business relationship runs on a contract. Supplier agreements, service contracts, commercial leases, employment agreements, independent contractor arrangements, and non-disclosure agreements all define what each party owes the other and what happens when something goes wrong. Commercial leases in Las Vegas are typically drafted in the landlord’s favor and often include personal guarantees, renewal options, and build-out obligations that deserve careful review before signing.
Employment agreements and independent contractor classifications must comply with both IRS guidelines and Nevada labor law. Misclassification carries tax and penalty exposure that can be significant for a small business. Nevada Annual Compliance & Business Maintenance
Formation is the beginning, not the end. Nevada LLCs must file an Annual List of Members or Managers by the last day of the anniversary month of formation, with a $150 filing fee; late filing incurs a $75 penalty under NRS § 86.272. The Nevada State Business License renews annually for $200, due the same day. Clark County and the City of Las Vegas maintain their own licensing requirements on a separate schedule.
Maintaining corporate formalities, including annual minutes, updated records, and separate business accounts, helps preserve the liability protection that entity formation provides. Letting those formalities lapse can give creditors grounds to pierce the corporate veil and reach personal assets.

A small business owner’s personal estate plan and the business’s succession plan have to align. Buy-sell agreements, ownership transfer provisions, and beneficiary designations all interact. Without that coordination, heirs can face probate complications or forced liquidation of a business that was meant to continue or be sold on the owner’s terms.
